Scope of Work: This Consulting and Coaching Agreement (the "Agreement") is established between Ericka Scott, an independent business consultant specializing in business management and development (the "Consultant"), (the “Client”), a privately owned business located in the state of California (the "Client").
The Client hereby retains the Consultant to provide the following services (the "Services"):
● Business Management and Development Consulting: The Consultant will offer expert guidance and assistance to the Client on matters related to business management, strategic planning, and any other services agreed upon by both parties.
● Analysis and Assessment: The Consultant will conduct a comprehensive analysis and assessment of the Client's current operations, management structure, policies, and procedures. This process aims to identify strengths, weaknesses, and areas for improvement.
● Recommendations: Based on the analysis and assessment, the Consultant will provide written recommendations and action plans designed to enhance the Client's business management and practices.
● Consultation and Support: Throughout the duration of the agreement, the Consultant will be available to address questions, offer clarifications, and provide ongoing support as necessary.
Payment Terms: The Client agrees to pay the Consultant for the Services as follows:
Contract Duration: This Contract shall commence on________________, and shall remain in effect for a period of 3 months, unless terminated earlier in accordance with the termination clause below.
Termination: Either party may terminate this Contract by providing written notice to the other party at least thirty (30) days in advance. In the event of termination, the Client shall be responsible for payment of any outstanding fees for Services rendered up to the effective date of termination.
Liabilities Waiver: The Client acknowledges that the Consultant is an independent contractor and that nothing in this Contract shall be construed as creating an employment, partnership, or agency relationship between the parties. The Consultant shall not be liable for any actions, decisions, or consequences resulting from the Client's use of the Services. The Client agrees to indemnify and hold the Consultant harmless from any claims, liabilities, or expenses arising from the Client's use of the Services.
Governing Law: This Contract shall be governed by and construed in accordance with the laws of the state of California.
Entire Agreement: This Contract constitutes the entire agreement between the parties and supersedes all prior agreements, written or oral, with respect to the subject matter hereof.
